Liability protection Under the Missouri Limited Liability Company Act, a member or manager of an LLC is not liable for a debt, obligation or liability of the LLC. In this respect LLCs are similar to RLLPs. However, LLCs are more efficient than RLLPs because once the formation paperwork is filed with the Secretary of State’s office and the LLC is established, no additional documents or annual reports need to be filed to maintain the LLC's liability protection. In contrast, an RLLP must file a renewal certificate annually on the date of filing its original registration or risk losing its limited liability protection. |
